Kilindar Merchant App Terms & Conditions (Merchant Agreement)

1) Acceptance

By accessing or using the Kilindar Merchant App ("App"), you agree to these Terms. If you do not agree, do not use the App.

2) Eligibility and Account

You must be authorized to act on behalf of a merchant/operator. You are responsible for all activity under your account and for keeping credentials secure.

3) Services

The App enables merchants to manage routes, trips, seat pricing/overrides, ticketing, expenses, quotas, reporting, and related operational workflows.

4) Merchant Responsibilities

You agree to:

• Provide accurate, current information.
• Comply with applicable laws, tax rules, and transport regulations.
• Ensure your staff and delegates comply with these Terms.
• Use the App only for legitimate business operations.

5) Payments and Fees

Fees, commissions, or service charges (if any) will be disclosed separately. You agree to pay applicable fees and taxes.

6) Ticketing and Customer Service

You are responsible for ticket issuance, cancellations, refunds, and customer support as required by law and your own policies. Kilindar may provide tools but does not assume your obligations to passengers.

7) Content and Data

You retain ownership of your business data. You grant Kilindar a limited license to store and process data to provide the service.

8) Prohibited Use

You must not:

• Use the App for illegal activity.
• Attempt to bypass security or access data you are not authorized to access.
• Upload malicious code or disrupt service operations.

9) Service Availability

We strive for uptime but do not guarantee uninterrupted access. We may suspend service for maintenance, security, or compliance reasons.

10) Termination

We may suspend or terminate access for violations, security risks, or legal requirements. You may stop using the App at any time.

11) Disclaimer

The App is provided "as is." We disclaim warranties to the maximum extent permitted by law.

12) Limitation of Liability

Kilindar is not liable for indirect, incidental, or consequential damages, including loss of revenue, business, or data.

13) Indemnity

You agree to indemnify Kilindar against claims arising from your use of the App, your operations, or your violation of these Terms.

14) Changes to Terms

We may update these Terms. Continued use after changes means acceptance.

15) Governing Law

These Terms are governed by the laws of Nepal. Disputes are resolved in the competent courts of Bhaktapur, Bagmati Province, Nepal.
